Steven Silverstein, chief executive of Spencer Spirit Holdings, has built Spirit Halloween from a chain of 130 stores when he joined the company in 2003 into a seasonal retailer that opens roughly 1,600 locations across North America every year, even though most of them operate for only a couple of months at a time. Spencer Spirit Holdings also owns the year-round novelty chain Spencer's and recently acquired Hot Topic, BoxLunch, and Her Universe, bringing the combined company's store count past 3,000.

The numbers behind the seasonal model are striking. Spencer's and Spirit together generated roughly $1.9 billion in revenue in 2023, and Spirit's brief operating window, open for only 8 to 10 weeks a year, brings in more revenue than Spencer's does running year round.

That window looks short only from the outside. Spirit's planning and preparation run all year, with real estate acquisition concentrated in March and April, when the company signs short-term leases on retail space. Merchandise, 75% to 80% of it designed in-house, begins shipping to distribution centers that same month to be ready for stores that will stay open for only a couple of months. At the seasonal peak, Spirit employs more than 52,000 workers, almost all of them hired and trained for that single stretch of the year.

The lease structure is what makes the model work. Rather than paying market rent, Spirit offers landlords a lump sum for space that would otherwise sit vacant, with the lease running for roughly the same length as the store's operating period. That arrangement has let the company move into locations other retailers have abandoned, including around 100 stores now operating out of former Party City locations.

Party City, Spirit's main competitor in the Halloween and costume category, has filed for bankruptcy twice and closed nearly 700 stores by February 2025. Spirit's short-term, flexible footprint, built around a few weeks of intense activity rather than year-round overhead, has let it keep expanding even as a more traditionally structured rival has struggled to survive.
